By-Laws of the Cheshire County DX Amateur Radio Club

CONSTITUTION


Preamble

We, the undersigned, wishing to secure for ourselves the pleasures and benefits of an association of persons commonly interested in Amateur Radio, constitute our selves the Cheshire County DX Amateur Radio Club, Keene, New Hampshire and enact this constitution as our governing law. It shall be our purpose to further the exchange of information and cooperation between members, to promote radio knowledge, fraternalism and individual operating interest and welfare of Amateur Radio in the community


Membership: Article One

All persons interested in Amateur Radio communications shall be eligible for membership.

Officers/Advisory Group: Article Two

Section 1. - The officers of this club shall be: President and Secretary/Treasurer.

Section 2. - An advisory Group consisting of a minimum of three and maximum of five paid members will be appointed.

Section 3. -  The President of this club shall be elected for a term of one year by the  members at the September meeting.

Section 4. - The President will appoint or solicit volunteers for the office of Secretary/Treasurer and the Advisory Group.

Section 5. - Vacancy of the President's office during his/her term will be filled by an appointment from the Advisory Group. The new President will appoint a new Secretary/Treasurer as he/she sees fit.

Section 6. - The President may be removed by a three-fourths vote of the membership.


Duties of Officers/Advisory Group: Article Three

Section 1. - The President, or in his/her absence an appointed representative, shall preside at all meetings of this. He/she will ensure observance of this club Constitution and By-laws and sign all official documents adopted by the club. He/she will also be a voting member of the Advisory Group.


Section 2. - The Secretary/Treasurer shall maintain the membership list, provide new members with applications, carry on all correspondence and read appropriate communications to the members at meetings. He/she will receive all monies paid to the club, keep an accurate account of all monies receives and expended, and pay all bills incurred in the transaction of the club business. At the request of any member he/she will make available an itemized statement of receipts and disbursements. He/she will also be a voting member of the Advisory Group.

Section 3 - The Advisory Group will conduct the day - to day organizational activities of this club. This includes, but is not limited to, securing appropriate meeting sites, providing for meeting content, and establishing various committees and work teams. The Group may, at its discretion, call on the general membership for assistance in any tasks it deems necessary.


Meetings: Article Four

The By-laws shall provide for regular meetings. At Meetings a minimum of one-third of the membership shall constitute a quorum for voting purposes.

Dues: Article Five

The Secretary/Treasurer, with approval from the Advisory Group may request of the general membership such dues or assessments as shall be deemed necessary for the business of this club. Non-payments of dues shall result in the loss of Full Member status.

Amendments: Article Six

This constitution and by-laws may be amended by a two-thirds vote of the attending membership, assuming that a quorum has been met. Proposals for amendments shall be submitted in writing to the Advisory Group at a regular meeting and shall be voted on during the next regular meeting, provided all members have been notified of the intent to amend the constitution and/or by-laws at said meeting.

By - Laws

1.) Secretary/Treasurer. It shall be his/her duty to keep the Constitution and By-Laws and have them available at all regular meetings.

2.) Membership. Full membership is open to any person with an interest in Amateur Radio. Full membership includes all club privileges as well as the right to hold club office and vote for club officers.


3.) Meetings. Regular meetings of the general membership shall be held the third Wednesday of each calendar month with the exception of July and August. Members will be notified of the time and place of all regular meetings through the club newsletter, other mailings  and on the club web site.

4.) Dues. An annual amount of $10.00 per member is assessed in accordance with the provisions of Article Five of the Constitution for the purpose of providing funds for expenses.
